Terms of Service

1. Introduction

REPORTwise is a Matrix product of IDCIC, developed and operated by Industry Developer CIC Limited (Company No. 14468201), registered in England and Wales with its principal place of business in London, UK. By accessing or using the REPORTwise platform (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree with any part of these Terms, you must not use the Service.

2. Service Description

REPORTwise provides digital tools for song catalogue management, royalty report analysis, bulk data import, AI-assisted document extraction, and related reporting functionalities. The Service is designed to assist music industry professionals in managing and analysing their catalogue data.

3. Eligibility & Account Responsibilities

You must be at least 18 years old and have the legal authority to enter into these Terms. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use.

4. Acceptable Use

You agree not to:

  • Upload content that infringes the intellectual property rights of any third party.
  • Attempt to gain unauthorised access to other accounts or system resources.
  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Transmit malicious code, viruses, or other harmful material through the platform.
  • Scrape, harvest, or extract data from the Service by automated means without prior written consent.

5. Intellectual Property Rights

All rights, title, and interest in and to the Service — including but not limited to its source code, object code, design, user interface, graphics, trademarks, service marks, trade names, logos, branding, and underlying technology — are and shall remain the exclusive property of Industry Developer CIC Limited and/or its licensors. These are protected by copyright, trademark, patent, trade secret, and other intellectual property laws of England and Wales, the European Union, and international treaties.

The REPORTwise name, logo, and all related product and service names, design marks, and slogans are trademarks of Industry Developer CIC Limited. You may not use such marks without prior written permission.

You retain ownership of the data you upload to the Service. By uploading content, you grant Industry Developer CIC Limited a limited, non-exclusive, revocable licence to process, store, and display such data solely for the purpose of providing and improving the Service. This licence terminates upon deletion of your account or the applicable data.

6. AI-Assisted Features Disclaimer

Certain features of the Service utilise artificial intelligence and machine learning models (including but not limited to PDF data extraction and the Reporting Assistant). While we strive for accuracy, AI-generated outputs are provided on an “as-is” basis and may contain errors, inaccuracies, or omissions. You are solely responsible for reviewing and verifying all AI-assisted results before relying upon them for any business, financial, or legal decisions.

7. Data Accuracy & No Financial Advice

The Service processes data that you provide. Industry Developer CIC Limited does not independently verify the accuracy, completeness, or reliability of any uploaded data or generated reports. Nothing in the Service constitutes financial, legal, tax, or accounting advice. You should consult qualified professionals before making business decisions based on outputs from the Service.

8. Data Protection & GDPR

We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018, and applicable EU data protection laws. For full details on how we collect, use, store, and protect your personal data, please refer to our Privacy Policy.

By using the Service, you acknowledge that certain data may be processed by third-party sub-processors (including AI service providers) in accordance with our data processing agreements and applicable data protection legislation.

9. Limitation of Liability

To the maximum extent permitted by law, Industry Developer CIC Limited, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, revenue, or business opportunity — arising out of or in connection with your use of, or inability to use, the Service, even if advised of the possibility of such damages.

Our total aggregate liability for any claim arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to such claim.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Indemnification

You agree to indemnify, defend, and hold harmless Industry Developer CIC Limited and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your misuse of the Service, or your violation of any third-party rights.

12. Service Availability & Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall continue in full force.

14. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. Nothing in these Terms shall affect your statutory rights as a consumer under applicable law.
